Partner program terms

1. Introduction

These Partner Program Terms ("Terms") are an agreement between you ("Partner", "you") and BrightLab B.V. ("Zenvy", "we", "us"), based in the Netherlands, for participation in the Zenvy partner program.

Zenvy is an app that helps families make screen time more meaningful — with tasks, rewards, and screen time insights. Through this program you can promote Zenvy and earn commission on paid Zenvy Pro subscriptions from families referred through your partner link.

These Terms govern the relationship between Zenvy and you. Zenvy is not a party to Dub.co's general terms; those apply between you and Dub for use of their partner platform, payouts, and tax compliance.

2. Definitions

• • "Qualified referral": a new Zenvy family referred through your assigned Dub partner link, correctly attributed by our systems, and meeting these Terms.
• • "Commissionable payment": an actually paid Pro subscription charge (after any trial), as recorded in our billing ledger.
• • "Lifetime recurring": commission on each Commissionable payment for as long as the referred family keeps paying for Pro and attribution remains valid — no month or year cap.
• • "Net revenue": the amount Zenvy actually receives for a Commissionable payment, excluding taxes, store fees, and refunds.

3. Enrollment and acceptance

Participation runs through our partner platform (Dub). You submit an application; Zenvy may accept or reject applications at its discretion.

You are at least 18 years old and able to enter binding agreements. You provide accurate information in your application and keep contact and payout details current via Dub.

By participating you also agree to Dub's Partner Terms and Dub's privacy policy for your partner account, dashboard, and payouts.

4. Commission structure

For Qualified referrals you receive 50% lifetime recurring commission on Net revenue from that family's Commissionable payments.

Example (indicative): on an annual plan with a reference price of €23.99, commission is roughly €12 per paid period. Actual amounts depend on store price, currency, taxes, and exchange rates.

Commissions are calculated and recorded via Dub based on conversion events confirmed by Zenvy. Our billing ledger is authoritative in disputes over whether a payment is Commissionable.

5. When commission does and does not apply

Commission applies only to actually paid Pro subscription charges — typically the first payment after a trial and each successful renewal.

• • No commission on free trials without payment.
• • No commission on failed payments, grace periods without a charge, or periods where the family uses Free.
• • No commission on refunded or chargeback amounts; commission already paid may be clawed back.
• • No commission if attribution is invalid (e.g. self-referral, fraud, or breach of these Terms).
• • Turning off auto-renew after payment does not claw back commission on periods already paid.

6. Attribution

Attribution runs via Dub click tracking and our technical link at registration of a new family. Last-click model: the most recent valid partner click before conversion applies unless Zenvy determines otherwise.

Self-referrals (your own family, direct household members, or accounts you control) are not commissionable.

Zenvy may correct or revoke attribution for technical errors, fraud, or breach of these Terms. Such decisions are leading in good faith, within Dub's dispute process where applicable.

7. Payouts and holding period

Payouts are processed via Dub under their payout policy, minimum thresholds, and tax/KYC requirements.

Commissions may first appear as "pending" during a holding period (default 30 days) before becoming payable — to handle refunds and chargebacks.

Zenvy is not responsible for delays caused by Dub, banks, tax authorities, or incomplete payout details from the Partner.

8. Refunds and chargebacks

If a Commissionable payment is refunded or charged back, the related commission is voided or reversed — including after payout (clawback).

Partial refunds may reduce commission pro rata.

9. Prohibited promotion

• • Misleading claims about Zenvy, pricing, features, or results.
• • Spam, unsolicited bulk messages, or violation of platform rules (Meta, TikTok, Google, email law, etc.).
• • Brand bidding on "Zenvy", "Zenvy app", or similar brand terms in paid search without prior written consent.
• • Cookie stuffing, click fraud, incentivized clicks without clear disclosure, or artificially generating clicks/conversions.
• • Promotion via content involving hate, illegal activity, adult content without context, or harmful advice.
• • Deliberately targeting minors outside the context of parents/caregivers.

10. Brand use and intellectual property

Zenvy grants you a limited, non-exclusive, revocable license to use approved Zenvy brand materials for promotional purposes consistent with these Terms.

You do not modify the Zenvy logo or name, imply official partnership beyond "Zenvy Partner", or create derivative works that harm our brand.

All Zenvy trademarks, app content, and materials remain the property of BrightLab B.V.

11. Termination

You may stop participating at any time by closing your partner account via Dub and ceasing promotion.

Zenvy may terminate or suspend participation immediately for breach of these Terms, suspected fraud, reputational harm, or other justified reasons.

On termination, the right to future commissions ends; commissions already payable remain payable via Dub unless fraud or chargebacks require otherwise.

12. Changes

Zenvy may change commission rates, program rules, prohibited channels, or these Terms. Material changes will be communicated by email, the partner dashboard, or our website.

Continued participation after the effective date constitutes acceptance. If you disagree, stop participating.

13. Relationship with Dub

Dub provides the partner platform (links, tracking, dashboard, payouts). Zenvy is not a party to your agreement with Dub.

Technical outages at Dub or app stores may affect attribution or reporting; Zenvy works to pass accurate data but does not guarantee uninterrupted platform availability.

14. Liability

The partner program is provided "as is". To the extent permitted by law, Zenvy is not liable for indirect damage, lost profits, or loss due to changes in commission structure, store policies, or platform changes.

Our total liability to you in connection with the partner program is limited to commissions paid to you via Dub in the twelve months before the claim.

15. Governing law

These Terms are governed by the laws of the Netherlands. Disputes are submitted to the competent court in the Netherlands unless mandatory consumer law requires otherwise.

If there is any conflict between translated versions of these Terms, the English version prevails.
